Nobody will go to a store and buy Vista upgrade. Well, not most of us. Most of the upgrades come from new system purchases. So it is not a question of why would you upgrade but when will you buy your next Dell or Gateway or Alienware?
Plus, why would you upgrade? Well, M$ has found a way, DX10 and DX10 video cards. Just like PCIe is phasing out AGP. I still have an AGP and have to wait 6 months for a top of the line card to come out in AGP and some are not at all. You will upgrade because DX10 cards will hit the market and DX10 games too, so XP will not be able to run those. But I expect that around 2008 or 2009 to be an issue.
Microsoft learned their lessons with XP. I know a lot of folks that did not switch to XP from 2000. And why would they? So, M$ is building a lot of "non-backwards-compatible" features. Hate it or love it, but you will assimilate (sp?).
